These Terms of Use (“Terms”) govern your access to and use of Fileay.com, including our website, file-hosting services, storage services, file-sharing tools, accounts, subscriptions, affiliate features, APIs, and any related services provided by Fileay (“Fileay,” “we,” “us,” or “our”).

By accessing Fileay, creating an account, uploading or downloading files, purchasing a subscription, or otherwise using our services, you agree to these Terms.

2. Eligibility

You retain ownership of files and content that you upload to Fileay.

By uploading content, you grant Fileay a limited, non-exclusive license to store, process, transmit, reproduce, and technically handle that content only as necessary to provide, maintain, secure, and operate the service.

This license does not transfer ownership of your files to Fileay.

You are solely responsible for files you upload, store, distribute, or share through Fileay.

You represent that you have all rights and permissions required to upload and share your content.

6. Prohibited Content

You may not upload, store, distribute, share, or otherwise use Fileay for content that is illegal or prohibited.

Prohibited content includes, but is not limited to:

Malware, viruses, ransomware, trojans, spyware, or other malicious software
Files designed to compromise devices, networks, accounts, or systems
Phishing materials or credential-stealing tools
Stolen data or unlawfully obtained information
Child sexual abuse material or sexual exploitation content
Non-consensual intimate imagery
Content promoting terrorism where prohibited by law
Material used to facilitate fraud or scams
Content that violates copyright, trademark, or intellectual-property rights
Personally identifiable information obtained or distributed unlawfully
Content designed to facilitate unauthorized system access
Illegal drugs, weapons, or contraband content where prohibited by law
Content that violates applicable laws or regulations
Material intended to harass, threaten, abuse, or unlawfully target others

Fileay reserves the right to remove prohibited content and take appropriate action against associated accounts.

7. Acceptable Use

You must use Fileay responsibly.

You must not use Fileay to:

Conduct illegal activities
Distribute spam
Operate phishing campaigns
Spread malware
Circumvent copyright restrictions unlawfully
Host fraudulent websites or files
Attempt unauthorized access to systems
Conduct denial-of-service attacks
Abuse Fileay infrastructure
Artificially generate downloads, clicks, referrals, or traffic
Circumvent storage, bandwidth, or account limits
Operate automated systems that negatively affect the service
Interfere with Fileay security measures
Reverse engineer protected components except where legally permitted
Scrape or extract data in a manner that disrupts the service
Misrepresent affiliation with Fileay

We may implement automated and manual systems to detect abuse.

8. File Sharing

Fileay may allow users to generate public or private file-sharing links.

You are responsible for deciding who receives your links.

Anyone who obtains a public sharing link may be able to access the associated file unless additional protections are enabled.

Fileay is not responsible for unauthorized access caused by users publicly sharing private links or credentials.

9. Storage Limits

Current limits may be displayed on the Pricing page, account dashboard, upload interface, or other areas of Fileay.

10. File Retention and Automatic Deletion

Certain files may be automatically deleted depending on account type, activity, expiration settings, storage rules, or subscription status.

For example, Fileay may delete files that:

Have reached an expiration date
Have remained inactive for a specified period
Exceed storage allowances
Belong to expired or terminated accounts
Violate these Terms
Are identified as harmful or unlawful
Must be removed to comply with legal obligations

Users are responsible for maintaining independent backups of important files.

Fileay should not be used as the only copy of critical data.

11. Backups and Data Loss

Although Fileay may implement backup and redundancy systems, we do not guarantee that every uploaded file can always be recovered.

Files can potentially be lost because of:

Hardware failure
Software failure
Storage-provider failure
User deletion
Security incidents
Service configuration
Account termination
Legal requirements
Technical errors
Events outside our reasonable control

You are responsible for maintaining backups of important content.

12. Downloads

Fileay may impose download restrictions depending on the user's account type, file status, server capacity, plan, or other conditions.

Download speeds are not guaranteed.

13. Free Accounts

15. Non-Recurring and Recurring Plans

Some Fileay subscriptions may be non-recurring while others may renew automatically.

The checkout page will indicate whether a purchase is recurring or non-recurring.

For automatically renewing plans, you authorize recurring charges until the subscription is cancelled in accordance with the applicable cancellation process.

Where a plan is explicitly described as Non-Recurring, it will expire at the end of the purchased period unless renewed manually.

16. Pricing

Fileay may change prices at any time.

Price changes generally do not retroactively modify completed purchases.

Future renewals or new purchases may be subject to updated pricing.

Taxes, transaction charges, payment-processing fees, or currency-conversion charges may apply depending on your payment method and location.

17. Payments

Payments may be processed through third-party payment providers.

Fileay may support payment methods such as:

Credit or debit cards
Stripe
Razorpay
Bank payments
Other supported payment services

Payment availability may differ by country or account.

Fileay does not necessarily store complete payment-card information directly.

Your use of third-party payment processors may also be subject to their terms and privacy policies.

18. Failed Payments

If a payment fails, is reversed, disputed, cancelled, or charged back, Fileay may:

Suspend the related subscription
Reduce the account to a free plan
Restrict premium features
Suspend the account
Request payment verification
Recover unpaid amounts where legally permitted

Fraudulent payment activity may result in immediate suspension.

19. Refunds

Refund eligibility may be governed by Fileay's applicable refund policy and mandatory consumer-protection laws.

Digital services that have already been activated or consumed may have limited refund eligibility where legally permitted.

20. Cancellation

Cancellation generally prevents future renewal but does not necessarily immediately terminate already-paid service time.

Upon expiration, premium account limits may be reduced to the limits applicable to the user's new account status.

Users should ensure their stored data complies with any reduced storage limits before a plan expires.

21. Expired Subscriptions

When a paid subscription expires, Fileay may:

Reduce available storage
Restrict uploads

Require removal of excess files
Apply retention policies applicable to free accounts

We may provide a reasonable period to reduce storage usage where appropriate, but this is not guaranteed unless specifically stated.

22. Affiliate Program

Fileay may operate an affiliate or referral program.

Participants may receive unique referral links and potentially earn rewards or commissions for eligible referrals.

Affiliate activity must be legitimate.

You must not:

Refer yourself
Create fake accounts
Manipulate referrals
Use automated traffic
Mislead users
Use deceptive advertising
Distribute unsolicited spam
Purchase through your own referral link where prohibited
Circumvent referral tracking rules

Fileay may reject or reverse fraudulent or invalid commissions.

Affiliate payments may be subject to verification, minimum thresholds, processing periods, and separate affiliate terms.

23. API Access

API users must comply with applicable usage limits and documentation.

You must not use the API to:

Overload Fileay infrastructure
Bypass account restrictions
Facilitate prohibited activities
Attempt unauthorized access
Circumvent rate limits

35. Intellectual Property of Fileay

Original content

are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Fileay intellectual property to users.

You may not copy, resell, reproduce, or distribute proprietary Fileay technology except where expressly authorized.

36. Feedback

If you provide suggestions, ideas, or feedback regarding Fileay, we may use that feedback to improve the service without obligation to compensate you unless otherwise agreed.

37. No Guarantee of Permanent Storage

Fileay is a file-hosting service, not an archival guarantee.

We strongly recommend maintaining independent backups of important files.

Do not store the only copy of important or irreplaceable information on Fileay.

38. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Fileay is provided on an “as is” and “as available” basis.

We do not guarantee that:

Fileay will always be available
Uploads will never fail
Files will never be lost
Downloads will always achieve a particular speed
Every security threat will be detected
Every feature will remain unchanged
The service will be error-free

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

39. Limitation of Liability

To the maximum extent permitted by applicable law, Fileay and its operators will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the service.

40. User Responsibility for Downloads

Files hosted on Fileay may originate from independent users.

Fileay does not necessarily review or endorse user-uploaded content.

You should exercise caution when downloading unfamiliar files.

Fileay is not responsible for damage caused by content uploaded by third parties except where liability cannot legally be excluded.

41. Indemnification

To the extent permitted by law, you agree to indemnify and hold Fileay harmless from claims, damages, liabilities, costs, and expenses arising from:
